Position Summary

    The Senior IT Contract Manager:
  • Manages all aspects of contract implementation, negotiation, administration, and monitoring, following leading practices for contract and subcontractor/vendor management
  • Fulfills a senior-level role, working directly with clients, internal staff, subcontractors, vendors, and strategic partners
  • Participates as a senior member of BrightLeaf’s executive management team, reporting to the CEO
  • Works closely with the CFO, Operations Analyst, Accounting staff, Project Managers, Executive Admin, and other internal staff.

This position is part-time and primarily remote, with occasional meetings in Austin, Texas. This key management role requires a high level of availability, with daily engagement in many aspects of the company’s operations.

    Key Responsibilities
  • Draft, prepare, negotiate, and review contracts, including NDAs, SOWs, MSAs, teaming agreements, and other types of agreements between BrightLeaf and its clients, subcontractors, vendors, strategic partners, and others, identifying key risk areas and interpreting terms and conditions
  • Manage contract lifecycles, including troubleshooting and resolving contract-related issues, both internally and externally
  • Develop and maintain an organized contract database containing key details and linking them to relevant documentation in Google Workspace (e.g., PO, SOW, MSA, NDA, insurance, renewals, subcontractor agreements, etc.)
  • Develop standard language for contracts, such as payment terms, general language, and provisions
  • Assist Project Managers with the development of SOWs and other proposals in response to client solicitations (e.g., RFPs, RFQs, RFIs, SOWs), ensuring compliance with detailed solicitation requirements, reviewing terms and conditions for risks and other concerns, and completing required solicitation forms
  • Lead pre- and post-award preparations, communications, negotiations, and follow-up tasks to ensure successful contract award, execution, and delivery
  • Manage company insurance policies, working with our insurance providers, to ensure our coverage meets client contract requirements and clients receive the necessary Certificates of Insurance and certificate renewals throughout each contract
  • Review invoice information to ensure accuracy and compliance with contract terms
  • Manage human resources agreements, policies, and procedures, including new-hire onboarding and employee offboarding document preparation and files in collaboration with our Executive Administrator
  • Communicate daily with others internally and externally to provide, exchange, or verify information, answer queries, address issues, or research and resolve issues
  • Manage State of Texas Historically Underutilized Business (HUB) and other certifications and forms
  • Perform competitive research and analysis to inform pricing and other management decisions
  • Research new contract vehicle opportunities in Texas and other states
  • Perform other duties as required and/or assigned
    Education and Experience
  • Deep knowledge of Texas DIR IT cooperative contracts and the State of Texas procurement laws, regulations, procedures, and contract management guidelines is preferred
  • Bachelor’s degree from an accredited college or university in a related field, plus 10 or more years of experience in contract management (additional relevant work experience may be substituted)
  • Experience with planning, developing, drafting, managing, negotiating, and overseeing IT contracts
  • Experience conducting internet research to inform proposals, contracts, and other agreements
  • Proficiency in Google Workspace, Slack, Zoom, Teams, MS Office (Word, Excel, PowerPoint) or similar tools
  • Excellent communication, presentation, negotiation, and interpersonal skills
  • Experience working with confidential documents and under confidentiality obligations
