Job Title: Corporate Paralegal
Location: 100% Remote (US Only)
Compensation: $70,000-$80,000 + Full Benefits Package
Reports to: VP Legal
The Corporate Paralegal plays a crucial role in ensuring the smooth operation of our organization’s legal matters. This position demands a high degree of professionalism, meticulous attention to detail, and a solid knowledge of corporate law and LLC procedures.
As a Corporate Paralegal, you will be responsible for assisting the VP of Legal in the preparation and review of corporate documents, handling regulatory compliance, maintaining corporate records, and facilitating various corporate transactions.
What you will do:
Assist in the preparation and filing of corporate documents such as articles of incorporation, bylaws, and minutes of meetings
Maintain and update corporate record.
Conduct legal research to support corporate actions and decisions
Coordinate due diligence activities for mergers, acquisitions, and other corporate transactions
Prepare and file annual reports and other regulatory filings
Assist in the organization of board meetings and the preparation of meeting materials
Monitor and ensure compliance with federal and state corporate laws and regulations
Liaise with external legal counsel and regulatory bodies
Maintain confidentiality and protect sensitive information
What you will bring:
Bachelor’s degree in Paralegal Studies, Legal Studies, or a related field
Minimum of 2-3 years of experience as a paralegal, preferably in a corporate setting
Certification from a recognized paralegal program
Experience working in a corporate legal department or law firm. Familiarity with corporate governance practices
Excellent written and verbal communication skills
Ability to work independently and manage multiple tasks simultaneously
Attention to detail and strong organizational skills
Knowledge of corporate laws and regulations
Proficient in legal research and writing
Strong computer skills, including proficiency in Microsoft Office Suite
Demonstrated ability to maintain confidentiality and handle sensitive information
Excellent organizational skills and attention to detail
Strong interpersonal and communication skills
Ability to prioritize tasks and meet deadlines
Ability to work collaboratively within a team environment
